# Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the TokenBot platform (the "Platform") — the `tokenbot` command-line tool, the websites at [tokenbot.com](https://tokenbot.com), and the related backend services — operated by TokenBot ("we," "us," "our"). By accessing or using the Platform, you agree to be bound by these Terms.

**If you do not agree to these Terms, do not use the Platform.**

## 1. Eligibility

To use TokenBot, you must:

* Be at least 18 years old (or the age of majority in your jurisdiction).
* Have the legal capacity to enter into a binding agreement.
* Not be a resident of, or located in, any jurisdiction where cryptocurrency trading or trade-automation services are prohibited.
* Not be subject to economic sanctions or listed on any government prohibited-party list.
* Complete any required identity verification (KYC/AML) as requested.

We reserve the right to refuse service, restrict access, or terminate accounts at our sole discretion.

## 2. Account Registration

### 2.1 Account Creation

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the accuracy of this information.

### 2.2 Account Security

Your CLI identity is a cryptographic keypair created on your device and protected by a passphrase that we never receive. You are solely responsible for:

* Safeguarding your passphrase and the contents of your `~/.tokenbot` directory (your encrypted identity and any locally stored exchange keys). **If you lose your passphrase, it cannot be recovered.**
* Maintaining the confidentiality of any account credentials and API keys.
* All activity that occurs under your identity or account.
* Enabling multi-factor authentication (MFA) for account-management features where available.
* Notifying us immediately at **<security@tokenbot.com>** if you suspect unauthorized access.

### 2.3 One Account Per Person

Each individual may maintain only one TokenBot account. Multiple accounts may be suspended or terminated without notice.

## 3. Platform Services

TokenBot provides CLI-first cryptocurrency trade-automation tooling that allows you to:

* **Synchronize Your Trades:** Designate one of your exchange accounts as a "Strategy" and replicate its trades onto your other "Copier" accounts.
* **Automate Trading:** Optionally enable server-side trading and market-making engines that operate on a schedule.
* **Portfolio Management:** View balances and aggregated data across your connected exchanges.
* **Analytics:** Access trading performance metrics and historical data.
* **Integrate:** Use the REST API, GraphQL API, webhooks, and MCP server to build on the Platform.

We do not act as a broker, exchange, custodian, or financial advisor. All trades are executed on third-party exchanges through API connections you authorize.

## 4. Trade Synchronization & Automation

### 4.1 How It Works

When activity occurs on your Strategy account, the Platform sends trade instructions to your Copier accounts via API. Trades are executed by the exchange, not by TokenBot. Server-side automation (the trading and market-making engines) likewise sends instructions to exchanges you have connected.

### 4.2 No Guarantee of Results

* Past performance is **not indicative of future results**.
* Replicated and automated trades may not execute at the same price, time, or conditions as the originating activity due to market conditions, liquidity, latency, and other factors.
* You may experience **slippage**, **partial fills**, or **failed executions**.

### 4.3 Your Responsibility

* You are solely responsible for configuring your strategies, copiers, allocations, and any automation, and for the amount of capital involved.
* You can stop synchronization or automation, or close positions, at any time.
* Automated trading involves substantial risk of loss. Only use funds you can afford to lose.

### 4.4 Conduct

* You must not use the Platform to engage in market manipulation, wash trading, or any deceptive trading practices.
* If you mark a strategy as public, you acknowledge that limited, non-sensitive metadata about it may be visible to other users.
* You may earn TBOT token rewards as described in the Platform.

## 5. TBOT Token

### 5.1 Utility Token

TBOT is a utility token within the TokenBot ecosystem. It may be used for:

* Platform fee discounts.
* Governance participation.
* Staking and reward programs.
* Access to premium features.

### 5.2 No Investment

TBOT is **not** an investment, security, commodity, or financial instrument. We make no promises regarding the value, price, or liquidity of TBOT. The token's value may fluctuate significantly or decline to zero.

### 5.3 Regulatory Compliance

The availability and functionality of TBOT may vary by jurisdiction. It is your responsibility to ensure that acquiring, holding, or using TBOT complies with the laws of your jurisdiction.

## 6. Exchange API Connections

### 6.1 Your Authorization & the Hybrid Key Model

Exchange API keys follow a hybrid model. Keys you add **locally** (`tokenbot keys add`) are encrypted on your own device and are never transmitted to us. Keys you **register server-side** (`tokenbot exchange add`) are sent to us only when you choose to enable automation, and are used by the engines you enable.

By connecting an exchange account via API (locally or server-side), you authorize the corresponding component to:

* Read your account balances and positions.
* Execute trades on your behalf based on your synchronization and automation settings.
* Access your trade history for performance tracking.

### 6.2 API Key Permissions

* We recommend providing **trade-only** API keys with **no withdrawal permissions**.
* We will **never** request withdrawal-enabled API keys.
* You are responsible for managing API key permissions on your exchange.

### 6.3 Third-Party Exchanges

TokenBot is not affiliated with, endorsed by, or responsible for any third-party cryptocurrency exchange. Issues with exchanges (outages, insolvency, hacks, frozen funds) are outside our control and responsibility.

## 7. Fees & Payments

### 7.1 Platform Fees

TokenBot may charge fees for certain services, including but not limited to:

* Subscription plans.
* Performance-based fees on automated trading profits.
* Premium feature access.

Current fee schedules are published on the Platform and may be updated with reasonable notice.

### 7.2 Exchange Fees

You are responsible for all trading fees, network fees, and other charges imposed by third-party exchanges. These are separate from TokenBot fees.

### 7.3 Taxes

You are solely responsible for determining and paying all applicable taxes on your trading activity and any TBOT token transactions.

## 8. User Conduct

You agree **not** to:

* Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
* Engage in market manipulation, wash trading, spoofing, layering, or other deceptive trading practices.
* Attempt to gain unauthorized access to the Platform, other user accounts, or our systems.
* Reverse engineer, decompile, or disassemble any part of the Platform.
* Use bots, scrapers, or automated tools to access the Platform beyond authorized API usage.
* Harass, abuse, or threaten other users.
* Impersonate any person or entity.
* Upload or transmit viruses, malware, or other malicious code.
* Circumvent or attempt to circumvent any access restrictions, rate limits, or security measures.

Violation of these rules may result in immediate account suspension or termination.

## 9. Intellectual Property

### 9.1 Our Property

The Platform, including its design, code, content, logos, trademarks ("TokenBot," "TBOT"), and documentation, is owned by TokenBot and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written consent.

### 9.2 User Content

You retain ownership of content you submit (e.g., strategy descriptions, profile information). By submitting content, you grant TokenBot a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Platform.

### 9.3 Feedback

Any suggestions, ideas, or feedback you provide may be used by us without obligation or compensation to you.

## 10. Risk Disclosures

**Cryptocurrency trading involves substantial risk of loss.** By using TokenBot, you acknowledge and accept:

* **Market Risk:** Cryptocurrency prices are highly volatile. You may lose some or all of your invested capital.
* **Automation Risk:** Trade synchronization and automated trading do not guarantee profits. Past performance is not indicative of future results.
* **Technical Risk:** Software bugs, API failures, exchange outages, network congestion, and latency may result in failed or delayed trades.
* **Liquidity Risk:** Low liquidity may result in slippage or inability to execute trades at desired prices.
* **Regulatory Risk:** Changes in law or regulation may restrict or prohibit the use of the Platform or cryptocurrency trading in your jurisdiction.
* **Counterparty Risk:** Third-party exchanges may become insolvent, be hacked, or freeze your funds.
* **Smart Contract Risk:** TBOT token interactions involve smart contracts which may contain bugs or vulnerabilities.

## 11. Limitation of Liability

**To the maximum extent permitted by law:**

* TokenBot, its officers, directors, employees, and affiliates shall **not** be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or trading opportunities.
* Our total aggregate liability for any claim arising from or related to the Platform shall not exceed the fees you have paid to TokenBot in the twelve (12) months preceding the claim.
* We are **not** liable for losses resulting from:
  * Your trading decisions, strategy/copier configuration, or automation settings.
  * Third-party exchange failures, outages, or insolvency.
  * Unauthorized access to your account due to your failure to secure credentials.
  * Market conditions, price movements, or liquidity issues.
  * Blockchain network congestion, forks, or smart contract vulnerabilities.

## 12. Indemnification

You agree to indemnify, defend, and hold harmless TokenBot and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

* Your use of the Platform.
* Your violation of these Terms.
* Your violation of any law or regulation.
* Your trading activity.

## 13. Disclaimers

* The Platform is provided **"AS IS"** and **"AS AVAILABLE"** without warranties of any kind, whether express or implied.
* We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
* We do **not** guarantee that the Platform will be uninterrupted, error-free, or secure.
* **TokenBot does not provide financial, investment, tax, or legal advice.** Nothing on the Platform constitutes a recommendation to buy, sell, or hold any cryptocurrency or token.

## 14. Termination

### 14.1 By You

You may close your account at any time by contacting **<support@tokenbot.com>**. You should disconnect all exchange API keys and close any open positions before closing your account.

### 14.2 By Us

We may suspend or terminate your account at any time, with or without notice, for:

* Violation of these Terms.
* Suspected fraudulent, abusive, or illegal activity.
* Regulatory requirements.
* Extended inactivity.
* Any other reason at our sole discretion.

### 14.3 Effect of Termination

Upon termination:

* Your right to use the Platform ceases immediately.
* We may delete your account data after the applicable retention period.
* Provisions that by their nature should survive (including Limitation of Liability, Indemnification, and Dispute Resolution) will continue to apply.

## 15. Dispute Resolution

### 15.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at **<legal@tokenbot.com>** and attempt to resolve the dispute informally for at least 30 days.

### 15.2 Governing Law

These Terms are governed by the laws of the jurisdiction in which TokenBot is incorporated, without regard to conflict-of-law principles.

### 15.3 Arbitration

Any dispute not resolved informally shall be settled by binding arbitration in accordance with the rules of a recognized arbitration institution. The arbitration shall be conducted in English.

### 15.4 Class Action Waiver

You agree to resolve disputes with TokenBot on an individual basis. **You waive any right to participate in a class action, collective action, or representative proceeding.**

## 16. Privacy

Your use of the Platform is also governed by our [Privacy Policy](/home/legal-information/privacy-policy.md), which describes how we collect, use, and protect your personal data.

## 17. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via:

* A notice on the Platform.
* Email to registered users.

Changes take effect 30 days after posting unless otherwise specified. Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms.

## 18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

## 19. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and TokenBot regarding the Platform and supersede all prior agreements and understandings.
